A RESOLUTION OF THE MAYOR AND COUNCIL OF THE CITY OF BISBEE, COUNTY OF COCHISE, STATE OF ARIZONA, PROPOSING AN EXTENSION OF THE ALTERNATIVE EXPENDITURE LIMITATION PURSUANT TO ARTICLE IX, SECTION 20 OF THE ARIZONA CONSTITUTION AND AUTHORIZING THE SUBMITTAL OF THIS PROPOSITION TO THE ELECTORATE AT THE PRIMARY ELECTION TO BE HELD ON AUGUST 26, 2014. 

	WHEREAS, the Arizona State Constitution permits the submission to the voters of a city or town of an alternative expenditure limitation, which authorizes the citizens of each city or town to establish the applicable expenditure limitation for that city or town; and

	WHEREAS, the voters of the City of Bisbee have previously adopted an alternative expenditure limitation each time that they have had the opportunity to do so, including, most recently, in 2010; and 

	WHEREAS, the Mayor and Council of the City of Bisbee have held two public hearings on this extension of the alternative expenditure limitation for the City of Bisbee and have determined that the approval of this expenditure extension is necessary and in the best interests of this City; and

	NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the City of Bisbee that the following proposition be submitted to the voters of the City of Bisbee at the Primary Election scheduled for August 26, 2014:
SHALL THE FOLLOWING BE ADOPTED BY THE CITY OF BISBEE AS AN ALTERNATIVE EXPENDITURE LIMIT:		
THE MAYOR AND COUNCIL OF THE CITY OF BISBEE SHALL ANNUALLY, AS PART OF THE ANNUAL BUDGET ADOPTION PROCESS, ADOPT AN ALTERNATIVE EXPENDITURE LIMITATION EQUAL TO THE TOTAL AMOUNT OF BUDGETED EXPENDITURES/EXPENSES AS IT APPEARS ON THE ANNUAL BUDGET AS ADOPTED BY THE COUNCIL TO APPLY TO THE CITY OF BISBEE FOR EACH OF THE FOUR FISCAL YEARS IMMEDIATELY FOLLOWING ADOPTION OF THE ALTERNATIVE EXPENDITURE LIMITATION.  THE ALTERNATIVE EXPENDITURE LIMITATION SHALL BE ADOPTED EACH YEAR AFTER A PUBLIC HEARING AT WHICH THE CITIZENS OF THE CITY/TOWN OF BISBEE MAY COMMENT ON THE PROPOSED ALTERNATIVE EXPENDITURE LIMITATION. PUBLIC NOTICE
ALTERNATIVE EXPENDITURE LIMITATION ELECTION

The voters of the City of Bisbee in 2010 adopted an alternative expenditure limitation   home rule option. The purpose of this election is for the continued authorization and use of the alternative expenditure limitation that has been previously approved. 

Pursuant to A.R.S. § 41 563.01, at its special meeting on April 8, 2014, the Bisbee City Council voted to propose an alternative expenditure limitation   home rule option for approval.  The vote in favor of submitting this proposal to the electors was 6 For and 0 Against.

At the primary election to be held on August 26, 2014, the voters of the City of Bisbee will vote on the question of an alternative expenditure limitation   home rule option.

With voter approval, the City shall be limited to the expenditure of the estimated available revenues, whether such expenditures are less than or exceed the State imposed limit.  As an example, in 2015-2016, the state-imposed limitation of $3,821,541, plus applicable constitutional exclusions will allow for total expenditures of approximately $11,824,499.  Under the proposed alternative expenditure limitation, we currently estimate expenditures for all City purposes, from all revenue sources, of approximately $29,709,066.

If the voters approve, the additional expenditure authority will be used for all local budgetary purposes for a four year period.  All revenues received from federal, state and local sources will be used to fund such expenditures.  The City property tax shall be limited to the amount prescribed in the Arizona State Constitution for that tax.

ARTICLE V - POWERS
No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to, its members, directors, officers or other private persons, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. ARTICLE VI - MEMBERSHIP
The Corporation will not have members.
ARTICLE VII - LIQUIDATION
Upon the winding up and dissolution of this Corporation, the Board of Directors shall, after paying or adequately providing for the payment of all of the liabilities of the Corporation, the remaining assets exclusively for the purposes of the Corporation shall be distributed to a non-profit fund, foundation, or corporation, which is organized and operated exclusively for charitable, educational, religious or scientific purpose as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1986, or corresponding section of any future United States Internal Revenue law or federal tax code, as the Board of Directors shall determine . The affairs of the Corporation shall be conducted by a Board of Directors whose number and term shall be provided in the Bylaws of the Corporation. ARTICLE X - ELIMINATION OF DIRECTORS=LIABILITY
The personal liability of the directors to the Corporation or its members for monetary damages for any action taken or failure to take any action as a director is eliminated to the fullest extent permitted by applicable law. Neither this provision nor any other provisions in these Articles shall eliminate or limit the liability of a director for any of the following:
A. The amount of a financial benefit received by a director to which the director is not entitled.
B. An intentional infliction of harm on the corporation.
C. A violation of A.R.S. § 10-3833 (liability for unlawful distributions).
D. An intentional violation of criminal law.
For purposes of this provision, a director shall include trustees or persons who serve on a board or council of the Corporation in an advisory capacity.
ARTICLE XI - INDEMNIFICATION
The Corporation shall indemnify any person against expenses, including without limitation, attorneys; fees, judgments, fines and amounts paid in settlement, actually and reasonably incurred by reason of the fact that he/she is or was a director, officer, employee or agent of the Corporation, or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise, in all circumstances in which, and to the extent that such indemnification is specifically permitted and provided for by the laws of the State of Arizona as then in effect.
The power of indemnification under the Arizona Revised Statutes shall not be denied or limited by the Bylaws.

NOTICE INVITING SEALED BIDS
Sealed Bids shall be received until 2:00 p.m., Arizona Time, Tuesday, May 20, 2014 for furnishing all material, equipment, and labor for Projects CW 013-2013A San Jose WWTP Photovoltaic (PV Solar Power Generation System and CW 013-2013B San Jose WWTP Site Preparation Solar Power Generation System, as shown on the plans and specifications.  The work of both projects is to be completed in conjunction with the other; however, the projects will be bid separately. Contractors that can perform both projects are allowed to submit a bid for both projects. The bids shall be opened and read aloud in the City Council Chambers at Bisbee City Hall, 118 Arizona Street, Bisbee, Arizona 85603. All bids received after closing time will be returned unopened.

A mandatory pre-bid meeting has been scheduled for 2:00 p.m., Arizona Time, Wednesday, April 30, 2014.  The pre-bid meeting will be held at the Public Works Department, 404 Bisbee Road, Bisbee, Arizona 85603. Immediately following the pre-bid meeting, there will be a visit and walkthrough at the San Jose Wastewater Treatment Plant. Bids will not be accepted from firms that did not attend the pre-bid meeting.

The City reserves the right to waive any informality in bids received, and to accept, increase, or reduce the quantities of any or all items of any bid proposal, unless the bidder qualifies such bid by specific limitation.

Bid packets containing plans, specifications, and proposal forms may be obtained from the City of Bisbee website at http://www.cityofbisbee.com/bids.htm.

Each bidder shall state his Arizona State Contractor’s License Number and Classification as evidence that he is qualified to contract the work as indicated in the specifications and plans for the work to be performed.

Each bid shall be made out on the proposal form which is attached to the bid documents package and shall be accompanied by a bid bond acceptable to the City of Bisbee for a penal sum of not less than ten percent (10%) of the amount of the bid made payable to the order of the City of Bisbee. 

Pursuant to the statutes of the State of Arizona, the wage rates paid all laborers, workmen, and mechanics employed in the execution of the contract shall not be less than the current wage rates applicable to the location at which the work is to be performed. Federal Davis-Bacon prevailing wages apply to this project. Payment of the wages, fringe benefits and overtime rates is required. 

Each bidder shall submit a non-collusion affidavit on the form which is included in specifications and contract document packet. No bidder may withdraw his bid for a period of sixty (60) days after the date set for the opening thereof.
